Art. 1Entirety

These general terms and conditions express the entirety of the parties' obligations. In this sense, the buyer is deemed to accept without reservation all of the provisions set out in these general terms and conditions. No general or specific condition appearing in documents sent or handed over by the buyer may be incorporated herein, since those documents would be incompatible with these general terms and conditions.

Art. 2Purpose

The purpose of these general terms and conditions is to define the rights and obligations of the parties in connection with the online sale of goods and services offered by « Docteur Paul et Karin Herzog SA » to the buyer.

Art. 3Contractual documents

This contract is formed by the following contractual documents, presented in descending order of precedence: these general terms and conditions and the online order form. In the event of a contradiction between provisions contained in documents of different rank, the provisions of the document of higher rank shall prevail.

Art. 4Entry into force, duration

These general terms and conditions enter into force on the date the online order is sent. They are concluded for the period necessary to supply the goods and services ordered, until the expiry of the warranties owed by « Docteur Paul et Karin Herzog SA ».

Art. 5Electronic signature

The buyer's « click » on the order form constitutes an electronic signature which has, between the parties, the same value as a handwritten signature.

Art. 6Order confirmation

The contractual information will be confirmed by e-mail at the latest at the time of delivery or, failing that, to the address given by the buyer on the order form.

Art. 7Proof of the transaction

The computerised records kept in the information systems of « Docteur Paul et Karin Herzog SA » under reasonable security conditions shall be regarded as proof of the communications, orders and payments that have taken place between the parties. Art. 10Method of payment

To settle his or her order, the buyer may choose from all the methods of payment offered on the online order form. The buyer warrants to « Docteur Paul et Karin Herzog SA » that he or she holds the authorisations required to use the chosen method of payment when the order form is confirmed.

« Docteur Paul et Karin Herzog SA » reserves the right to suspend all order processing and all delivery in the event of refusal of card payment authorisation by the officially accredited bodies, or in the event of non-payment of the order. It reserves in particular the right to refuse to make a delivery or to fulfil an order from a buyer who has not paid an order in full, or with whom a dispute is pending.

An order verification procedure has been put in place to ensure that no one uses another person's bank details without their knowledge. In the event of doubt as to the legitimacy of the customer, he or she will be asked to send a copy of an identity document together with proof of address. The order will be confirmed only after our departments have received and checked the documents sent.

Art. 11Product availability

The order will be processed within 3 working days at the latest, counting from the day after the buyer placed the order. If the product ordered is unavailable, in particular owing to our suppliers, the buyer will be informed as soon as possible and will have the option of cancelling the order. The buyer may then choose either a refund of the amounts paid within 2 weeks at the latest from the date of payment, or an exchange of the product.

Consequently, in the event of damage caused to a person or to property by a defect in the product, the producer's liability may be invoked by the buyer, on the basis of the information appearing on the packaging of the said product.

In addition, if the buyer is not entirely satisfied with the Docteur Paul et Karin Herzog SA products purchased, he or she may return them within 15 days of receipt. Shall be regarded as a fortuitous event or force majeure any irresistible fact or circumstance, external to the parties, unforeseeable, unavoidable, beyond the parties' control and which they cannot prevent despite all reasonably possible efforts.

The party affected by such circumstances shall notify the other within one week following the date on which it became aware of them. The two parties shall then confer, within four weeks, unless prevented by the force majeure event, to examine the impact of the event and agree on the conditions under which performance of the contract will continue. If the force majeure event lasts longer than eight weeks, these general terms and conditions may be terminated by the aggrieved party.

Expressly regarded as cases of force majeure or fortuitous events, in addition to those usually accepted by case law, are: the blocking of means of transport or of supply, earthquakes, fires, storms, floods, lightning, the shutdown of telecommunication networks, or difficulties specific to telecommunication networks external to customers.

Art. 17Partial invalidity

If one or more stipulations of these general terms and conditions are held to be invalid or declared as such pursuant to a law, a regulation or following a final decision of a competent court, the other stipulations shall retain their full force and effect.

Art. 18Applicable law

These general terms and conditions are governed by Swiss law and in particular by the Code of Obligations, which governs the aspects not expressly mentioned by these general terms and conditions.
